Why a Virtual Office Will Not Get You a Polish Transport Licence
Foreign hauliers setting up in Poland tend to make the same mistake. They register the company, buy a virtual office address, apply for the transport licence — and get refused.
The reason is a requirement that most company-formation providers never mention: the operating base, or baza eksploatacyjna.
What the law actually requires
EU Regulation 1071/2009 sets four conditions for anyone operating road haulage:
- A genuine and stable establishment in the member state
- Good repute
- Financial standing
- Professional competence
Foreign operators almost always fail on the first. An “establishment” is not a postal address.
What counts as an operating base
Article 4(21a) of the Polish Road Transport Act — in force since 1 March 2022, with the base requirement applying from 1 January 2023 — defines the base as a physical place at the operator’s disposal, suitable for conducting transport activity in an organised and continuous manner. It must contain at least one of:
- a parking place for the vehicles used in transport
- a place for loading, unloading or consolidating cargo
- a place for vehicle maintenance or repair
The phrase “at least one” is misleading in practice. The parking requirement is regulated separately and is mandatory, so in reality there is no base without parking.
How many parking spaces
You need spaces for at least one third of the vehicles you declare:
- 1–2 vehicles declared: 1 space
- 3 vehicles: 1 space
- 6 vehicles: 2 spaces
- 15 vehicles: 5 spaces
- 30 vehicles: 10 spaces
They do not all have to be in one place. Spaces across several bases in Poland are added together.
Why a virtual office fails
A virtual office gives you a correspondence address. That is enough to register the company and enough for the tax office — but it is not a physical place equipped for transport activity, and the law is explicit that an office in a flat does not qualify.
The painful part is the timing. You can incorporate, get registered in the KRS and obtain your tax numbers on a virtual address without anything going wrong. The problem only surfaces months later, at the licence application or the first inspection, once the money is spent.
Proving you have the right to use it
The first question at inspection is whether you have legal title to the site. Accepted forms:
- ownership
- a lease (umowa najmu)
- a tenancy (dzierżawa)
- a loan-for-use agreement (użyczenie)
The agreement must be in your company’s name. An informal arrangement to use a friend’s yard will not survive an inspection.
Solving this from abroad
This is the genuinely hard part. If you run trucks from Germany, Belgium or the Netherlands, finding a suitable yard in Poland, negotiating a lease in Polish and being confident it will pass inspection is not something you can do remotely.

Before you start
If you are considering a Polish haulage company, your first question should not be how fast the company can be registered. It should be: who is providing the base, where, and under what agreement? Without an answer, the company you register cannot get licensed.

- Is a virtual office enough for a Polish transport licence?
- No. A virtual office can be used to register a company, but it does not satisfy the operating base requirement for a transport licence. The law requires a physical place suitable for transport activity, and explicitly excludes an office in a flat.
- What is a baza eksploatacyjna?
- It is a physical place at the operator's disposal, suitable for conducting transport activity in an organised and continuous way. It must include at least one of: a parking place, a place for loading, unloading or consolidating cargo, or a place for vehicle maintenance or repair. The legal basis is Article 4(21a) of the Polish Road Transport Act.
- How many parking spaces does an operating base need?
- Spaces for at least one third of the vehicles declared. If you declare two or fewer vehicles, one space is enough. Spaces across several bases in Poland are added together.
- Can I rent the base or do I have to buy it?
- Renting is fine. Ownership, a lease, a tenancy or a loan-for-use agreement are all accepted. What matters is that the agreement is in your company's name and can be produced at an inspection.
- Must the company's registered address and the operating base be the same place?
- No. The registered office and the operating base can be at different addresses, but you need to show legal title for each of them separately.
- Can I set up a Polish haulage company without living in Poland?
- Yes. You can incorporate a sp. z o.o. and obtain a transport licence without residing in Poland. The genuine establishment and operating base conditions still have to be met, which is why the process is difficult to run without support on the ground.
