01 Is S24 really only 250 zł?
The court fee is 250 zł, and since 29 November 2025 there is no longer a 100 zł Monitor Sądowy i Gospodarczy announcement on top — publication of KRS entries stopped being compulsory. On the statutory minimum capital of 5 000 zł you also pay about 24 zł of transfer tax, because the base is reduced by the court fee. Pages still quoting a higher combined figure for S24 were written before the change.
02 When is a notary worth the extra cost?
When the S24 template does not fit. The online route gives you a fixed set of articles: cash contributions only, one class of shares, standard rules on sale and inheritance. If you want to contribute assets in kind, create preference shares, restrict share transfers, set an unusual board structure or write a shareholders’ agreement into the articles, you need a notarial deed. It also matters for investor-ready structures — a fund reading S24 articles will usually ask for them to be rewritten anyway.
03 What extra costs do foreign founders face?
Three, usually. A qualified electronic signature if you have no Polish trusted profile — around 300 zł for a one-year certificate, and it is the practical prerequisite for signing S24 remotely. Sworn translation of identity or corporate documents, charged per 1 125-character page. And a sworn interpreter at the notary, if you are going the notarial route and do not speak Polish — the notary may not read a deed to someone who cannot follow it.
